Terms and Conditions for Forge Marketplace

Welcome to Forge Marketplace ("the Marketplace") operated by Newgen Labs Inc. ("Newgen Labs," "we," or "us"). These Terms and Conditions ("Terms") govern your use of the Marketplace. By accessing or using the Marketplace, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using the Marketplace.

Account Registration:

1.1. To access certain features of the Marketplace, you may need to create an account. You must provide accurate, complete, and current information during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.2. You must be of the age of majority in your jurisdiction to create an account and use the Marketplace. If you are under the age of majority, you must obtain parental or guardian consent before using the Marketplace.

Intellectual Property:

2.1. All content and materials available on the Marketplace, including but not limited to text, graphics, images, logos, trademarks, and software, are the property of Newgen Labs or its licensors and are protected by intellectual property laws.

2.2. You are granted a limited, non-exclusive, non-transferable license to access and use the Marketplace and its content for personal, non-commercial purposes. You may not reproduce, modify, distribute, transmit, display, perform, or otherwise exploit any content from the Marketplace without prior written consent from Newgen Labs.

Prohibited Conduct:

3.1. You agree to use the Marketplace in compliance with all applicable laws and regulations. You must not engage in any activity that violates these Terms or infringes upon the rights of others.

3.2. Prohibited conduct includes, but is not limited to:

a) Using the Marketplace for any unlawful or unauthorized purpose;

b) Interfering with or disrupting the operation of the Marketplace;

c) Uploading or transmitting any harmful or malicious content;

d) Attempting to gain unauthorized access to the Marketplace or other users' accounts;

e) Engaging in fraudulent or deceptive activities on the Marketplace.

Transactions and Payments:

4.1. The Marketplace allows you to purchase digital items, including in-game currency called Sparks, and other virtual assets. By making a purchase, you agree to pay the specified price and any applicable taxes.

4.2. All transactions on the Marketplace are processed securely through third-party payment processors. Newgen Labs does not store your payment information and is not responsible for any payment-related issues or disputes.

4.3. Newgen Labs reserves the right to modify or update the prices of products or services on the Marketplace at any time. Any changes will be effective immediately upon posting on the Marketplace.

Disclaimer of Warranties:

5.1. The Marketplace is provided on an "as-is" and "as available" basis. Newgen Labs makes no warranties or representations, express or implied, regarding the accuracy, reliability, or completeness of the content or functionality of the Marketplace.

5.2. Newgen Labs disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

Limitation of Liability:

6.1. To the extent permitted by applicable laws, Newgen Labs and its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Marketplace or these Terms.

6.2. In no event shall Newgen Labs' have any liabilities regarding you and the products or services purchased through the Marketplace.

Termination:

7.1. Newgen Labs may suspend or terminate your access to the Marketplace at any time for any reason, without prior notice or liability. Upon termination, your right to access the Marketplace will cease immediately.

Governing Law and Jurisdiction:

8.1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Newgen Labs operates. Any legal action or proceeding arising out of or relating to these Terms or your use of the Marketplace shall be brought exclusively in the competent courts of that jurisdiction.

Severability:

9.1. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement:

10.1. These Terms constitute the entire agreement between you and Newgen Labs regarding your use of the Marketplace and supersede any prior or contemporaneous agreements, communications, or understandings.
